Terms of Use

1. General Provisions

These Terms of Use (the "Terms") govern the relationship between Profscale (hereinafter — "we") and any person who visits the profscale.com website, uses its functionality, or contacts us through the contact forms (hereinafter — the "User", "you").

By using the Site, you confirm that you have read these Terms, understood them, and agree to comply with them. If you disagree with any provision, do not use the Site — that's only fair.

2. Who We Are

Profscale is a Ukrainian web development team. Contact email — [email protected], website — profscale.com.

3. Services

Profscale is a Ukrainian agency that provides services in:

• development of corporate websites, landing pages, online stores, and SaaS interfaces;
• UX/UI design and website redesign;
• SEO optimization, technical audits, and content support;
• related services — hosting consultations, analytics, integrations.

The exact scope, timeline, and cost of a specific project are set out in an individual agreement or a written offer, which are signed with the client separately.

4. How an Agreement Is Concluded

The Site itself does not constitute a public offer. Information about services, indicative prices, and calculator results are informational in nature and do not bind either party.

Contractual relations arise only after:

• the signing of an individual agreement (paper or electronic);
• or written confirmation by the parties of the scope of work, timelines, and cost — for example, in email correspondence.

5. Intellectual Property Rights

5.1. Ownership of the Site

All elements of the Site — texts, graphics, illustrations, photos, videos, 3D scenes, logos, software code, design, structure — are objects of intellectual property rights and belong to Profscale or are used by us on legal grounds. It is prohibited to copy, reproduce, distribute, or modify the Site's materials without our written consent.

5.2. Ownership of Work Results

Upon full payment, the following are transferred to the client on the basis of exclusive proprietary rights (Articles 427, 429 of the Civil Code of Ukraine): source code, design and layout files, media materials created for the project, access to the repository and infrastructure, technical documentation and instructions. Until full payment is made, the proprietary rights remain with Profscale.

Standard open source libraries, frameworks, and ready-made commercial components used in the project remain the property of their respective rights holders and are used in accordance with their licenses.

6. Obligations of the Parties

6.1. The User undertakes to

• provide accurate information in the contact forms;
• not use the Site for unlawful actions, spam, hacking attempts, or automated scraping of large volumes of data;
• not attempt to circumvent the Site's technical restrictions;
• respect the intellectual property of Profscale and third parties.

6.2. Profscale undertakes to

• ensure the availability and operability of the Site within reasonable limits;
• process personal data in accordance with the Privacy Policy;
• respond to your inquiries within reasonable timeframes;
• fulfill its contractual obligations in good faith and with quality.

7. Confidentiality

Information that the client provides to us in the process of discussing or carrying out a project (business plans, financial indicators, internal documents, access credentials) is considered confidential by us and is not disclosed to third parties, except where:

• there is written consent from the client;
• this is required by the legislation of Ukraine;
• the information needs to be transferred to contractors engaged in the project, to the extent necessary to perform the work.

If necessary, a separate non-disclosure agreement (NDA) may be concluded with the client.

8. Liability

The Site is provided "as is". Profscale is not liable for:

• possible errors or inaccuracies in reference materials, blog articles, and the results of online calculators — they are indicative in nature;
• decisions made by the User based on information from the Site;
• temporary unavailability of the Site due to technical maintenance, actions of the hosting provider, or force majeure;
• the content of third-party websites linked to from our Site.

The extent of Profscale's liability is in any case limited to the amount actually paid by the client for the relevant project.

Specific penalties for breaches of timelines, scope of work, or other obligations are set out in the project agreement, which is concluded with the client separately. These Terms govern only the use of the Site and do not replace the terms of the project agreement.

9. Force Majeure

The parties are released from liability for failure to fulfill obligations if this occurred due to circumstances of force majeure: hostilities, missile strikes, power and communications outages, decisions of government authorities, accidents, pandemics, and other events that the parties could not have foreseen or reasonably overcome.

10. Duration and Termination

These Terms are effective from the moment of first use of the Site until such use ceases. We reserve the right to restrict or terminate access to the Site for Users who violate these Terms or act in bad faith.

11. Changes to the Terms

We may update these Terms. The current version is always posted on this page with an indication of the date of last update. Continued use of the Site after changes have been made constitutes your agreement to the updated version.

12. Applicable Law and Dispute Resolution

These Terms are governed by the substantive law of Ukraine. The parties shall endeavor to resolve disputes arising in connection with the use of the Site through negotiations. If an agreement cannot be reached, the dispute is referred to the competent court of Ukraine.
